I understand that Treeova Technologies Inc ("Treeova") does not guarantee uninterrupted access to its electronic trading services ("the Service"). Treeova may suspend or limit access to the Service without prior notice for scheduled or unscheduled maintenance, upgrades, or other operational reasons.
User Responsibilities
I am responsible for all actions and errors associated with my use of the Service, including any orders placed using my User ID and Password. I agree to:
Safeguard the confidentiality of my User ID and Password, updating them regularly.
Promptly notify Treeova if:
a. I place an order through the Service but do not receive an order confirmation number.
b. I receive inaccurate or no acknowledgment of an order or its execution.
c. I receive confirmation of an order I did not place.
d. I notice inaccuracies in my account balances, securities positions, or transaction history.
e. I suspect unauthorized use of my User ID or Password.
If I fail to notify Treeova promptly of any of these issues, neither Treeova nor its affiliates will be liable for any claims, losses, or damages related to the handling, mishandling, or loss of any order.
Market Data
I acknowledge that neither Treeova nor any third-party data provider ("Data Provider") guarantees the accuracy, timeliness, completeness, or sequence of market data provided through the Service. Treeova is not liable for any losses, including lost opportunities or profits, arising from:
Inaccuracies, defects, or omissions in the market data.
Delays or errors in data transmission.
Interruptions in data delivery due to causes beyond Treeova's control.
I understand that each securities exchange or association claims proprietary rights to the market data it provides. I agree to use market data, including real-time quotes, solely for personal, non-commercial purposes and not to disseminate such data to others. Data Providers may enforce this agreement directly against me.
Electronic Services
The term "Electronic Services" refers to all computer, electronic, or telephonic services or systems provided by Treeova, including but not limited to third-party platforms, external networks, Treeova's website, and any other trading or information systems offered to customers, whether directly by Treeova or through third-party providers.
I accept that Electronic Services are provided "AS IS" and "AS AVAILABLE." Treeova, its affiliates, officers, directors, employees, or agents will not be liable, directly or indirectly, for:
Losses arising from inaccuracies, delays, interruptions, or failures in the performance, reliability, or availability of Electronic Services, including any failure or delay in executing transactions.
Losses due to disruptions in connectivity or communication services, whether provided by Treeova, its affiliates, or third parties.
Losses resulting from delays, interruptions, or errors in communication between me and Treeova or its affiliates, even if Treeova has been informed of the potential for such losses.
Email Communication
Due to the inherent limitations of Internet email, including issues with delivery reliability, timeliness, and security, I agree not to use email for:
Requesting, authorizing, or executing purchases or sales of securities or other property.
Sending fund transfer instructions.
Conducting any financial transactions requiring real-time communication or formal written authorization under applicable law or Treeova's policies.
Treeova may not accept or process any requests, orders, or instructions sent via email in violation of these restrictions, and Treeova will not be liable for any losses or damages resulting from such non-acceptance or non-processing. Additionally, I understand that sensitive information, such as account numbers, credit/debit card details, Social Security numbers, or passwords, should not be sent via Internet email due to security risks.
